HomeNominee director prices

Priced per company, and here is why

There is no list price for a nominee director, because the fee follows the risk the nominee takes on. A security deposit applies alongside it, and this page explains both numbers.

How the fee works

Two numbers, not one

A nominee arrangement carries an annual fee and a security deposit. The fee pays for the work and the exposure. The deposit is held rather than spent, and returned under conditions written into the engagement letter.

Under the Companies Act a director carries real duties and real liability for the company's filings and conduct, and a nominee is a real director. A provider quoting no deposit at all has priced that risk somewhere you are not looking.

What moves the price

What the quote depends on

Two companies of the same size get different numbers here. Everything below changes how closely the appointment has to be watched, and how much sits behind the name printed on the ACRA register.

What the business does

A dormant holding company and a business moving client money across borders are not the same proposition for the person named as director. Regulated activity, cash handling and payment flows push the fee up, and some activities we decline outright.

Where the owners sit

Identity and source of funds checks on shareholders in one country are quick. An ownership chain through several overseas entities means tracing up to the individuals behind it, with documents certified abroad, and the quote carries that work.

How long you need the seat

A founder waiting on an Employment Pass needs the appointment for a defined stretch. A company with no plan to place anyone in Singapore needs it renewed year after year, which is a longer exposure and is priced as one.

Whether the filings are current

The nominee signs annual return declarations, so the state of your compliance is the state of their risk. A company arriving with an overdue annual return or books nobody has closed is a harder appointment to accept and a dearer one.

Prices exclude GST. The security deposit is separate from the annual fee and is held, not spent. The engagement letter states the amount and the conditions for returning it.

Common questions

What founders ask about the deposit

Why is there a security deposit?

Because the nominee is a real director with real duties under the Companies Act, and stays liable for the company's filings and conduct while appointed. If a company is abandoned or a filing obligation is ignored, the nominee is the person ACRA looks at. The deposit covers that exposure.

Is the deposit refundable?

Yes, under the conditions written into the engagement letter, once the resignation is filed with ACRA and the filings covering the appointment period are dealt with. An overdue annual return from that period is the usual reason a return gets held up, so keeping filings current is in your own interest.

Why will you not publish a price for this?

Because a published number would be wrong for most companies. The fee tracks what the business does, where its owners sit and how long the seat is needed. A dormant holding company and a cross border payments business would pay the same on a price list, which serves neither of them.

Does the nominee control my company or my bank account?

No. The nominee holds no bank mandate, approves no payments and takes no part in trading decisions. You keep the shares, the bank access and the running of the business. The role exists to meet the resident director requirement and stops at the edge of it.

How do I stop paying for a nominee?

Appoint a director who is ordinarily resident in Singapore. That is usually you once an Employment Pass is approved, or a co-founder or employee already living here. Give notice, the nominee resigns, ACRA is updated and the deposit is returned under the engagement letter terms.
