HomeIncorporation for Singaporeans and PRs

Company incorporation for Singaporeans and PRs

For citizens and permanent residents registering a private limited company. You meet the resident director rule yourself, so there is no nominee to pay for and no extra approval to wait on.

ACRA fee included You are the resident director Secretary within six months
Two ways to register your Pte Ltd

Register online, or let a chartered secretary do it

As a citizen or PR you can be the resident director yourself, so most local founders finish online in one sitting. If the share split needs thought, talk it through first.

Option 1 · Online

Do it yourself online

Enter your company, director and shareholder details, sign electronically, and follow the filing as it moves through ACRA.

Have your NRIC and the registered address you want to use.

Option 2 · Guided

Let a chartered secretary set it up

Your chartered secretary checks the name, settles the share split and the financial year end with you on a short call, then prepares everything for your signature.

Worth it if you have

  • Co-founders splitting the shares
  • A company, not a person, as a shareholder
  • Questions about when your financial year should end

Online or guided, a chartered secretary checks every detail before we file with ACRA.

What is included

Everything your new company needs to exist

The work below turns a name into a registered company with a UEN, statutory registers, and a constitution that matches how you and any co-founders split the shares.

ACRA name application

We run the name check before you pay anything. ACRA refuses names that clash with an existing entity or a registered trade mark, and refers some names to another agency for approval.

Constitution and share split

Two founders splitting the shares down the middle sounds fair until one of them walks away. Share classes and holdings go into the constitution and the register of members before the company exists, not after an argument.

Financial year end set deliberately

Your first year end drives your AGM date, your annual return and your ECI filing. Pick it on the incorporation form and you control those deadlines, instead of inheriting a date someone typed in a hurry.

Statutory registers from day one

Registers of members, directors and controllers are required, and the register of registrable controllers is the one founders forget. Yours is prepared and kept current, so an ACRA query has an answer already sitting in the file.

Company secretary appointment

A company secretary is due within six months of incorporation, and the sole director is not permitted to fill the role alone. If you are the only director, you need a second person, and we tell you the cost early.

Board resolution for the bank

Banks want a resolution naming the account signatories, written their way. Yours is drafted alongside the incorporation documents, so the account application goes in with the right paperwork the first time.

How it works

Four steps, two of them yours

You choose the name and sign the documents. Everything after that is filing work, and you hear from us at each stage rather than wondering.

  1. Name check and structure call

We test the name against ACRA's register and against trade mark records, then work through the details that are hard to change later: who holds what percentage, who signs for the company, and which month your financial year should end in.

    About 30 minutes
  2. Documents out for signature

You get the incorporation forms, the constitution and the consent to act as director. Sign them digitally. If a clause reads oddly, ask before you sign rather than after, because a change once the filing is lodged means a second ACRA transaction.

    Same day as your call
  3. Filing with ACRA

The submission goes in under our filing agent account with the name application, the constitution and every officer's consent attached. Once ACRA registers the company, you have a UEN and a business profile to show a bank.

As soon as ACRA clears it
  4. Registers, kit and first dates

Share certificates, the registers of members and directors, the RORC and your first board resolutions are prepared and handed over. Your AGM month, annual return deadline and ECI date go to you in writing, so the first year holds no surprises.

What it costs

Priced before we file anything

One fixed fee, with the ACRA fee inside it rather than added on top. We quote it for your company and write it into the engagement letter before the work starts, so the invoice at the end matches what you agreed at the beginning.

Outside it sits the ongoing work: a named company secretary, the registered office and the annual filings. Those live in the Comply package, and you decide on that separately once the company exists.

Incorporate package

Quoted for your company

Agreed in writing before we start

Start your company
  • ACRA name application and fee
  • Constitution and share allocation
  • Filed by a registered filing agent
  • Registers of members, directors and controllers
  • First board resolutions and share certificates
  • Bank account resolution in bank format

Prices exclude GST. ACRA transaction fees beyond the incorporation itself, a later name change for example, are passed on at cost with the receipt attached.

Common questions

What local founders ask first

Do I need a company secretary if I am the only director?

Yes. One must be appointed within six months of incorporation, and the role is not one the sole director fills alone. A single-director company therefore needs a second person in the secretary seat. Most founders in that position use an external named secretary rather than asking a family member to take on the statutory duties.

When is my first annual return due?

It follows your financial year end. A private company holds its AGM within six months of the year end and files the annual return with ACRA within seven months, unless it is exempt from holding an AGM. ECI goes to IRAS within three months of the year end, unless the company qualifies for the waiver.

Which financial year end should I choose?

Any month is allowed, and the choice sets every deadline that follows. A December year end puts your AGM and annual return in the middle of the next year. Pick a year end away from your busiest trading month so the accounts and filings do not land at the worst possible time. Decide before the incorporation form goes in.

How should two founders split the shares?

There is no single right answer, and an even split is the most common source of later trouble, because nothing breaks a deadlock. Whatever you agree, write it into the constitution and the register of members, and settle what happens if one founder leaves. Changing holdings later means transfer documents, resolutions and another filing.

What tax will my new company pay?

Corporate income tax is 17% of chargeable income. A new company usually qualifies for the Start-up Tax Exemption, which gives 75% relief on the first S$100,000 of chargeable income and 50% on the next S$100,000, for the first three years of assessment. Property development and investment holding companies are excluded.

Talk through the details first

Bring the half-formed version. We would rather argue about share percentages and year ends on a call than fix them with a second ACRA filing later. The call costs nothing.
