Local incorporation, priced in full

S$650 forms a Singapore private limited company with the ACRA fee inside the number. This page sets out what that buys, where it stops, and what pushes a quote above it.

How the fee works

S$650, and where it stops

The charge is one-off and covers forming the company. Work that starts after registration, such as the annual filings and the books, sits in a separate monthly package.

Most local founders with one or two shareholders, a name nobody else has taken and a standard constitution pay the S$650 and nothing more at formation. The four factors below are the reasons a quote moves.

What moves the price

Four things that change the number

A quote climbs above S$650 when the paperwork stops being standard. Each of the four below adds real hours, and each one is visible before you commit rather than in an invoice afterwards.

The name you pick

ACRA refuses names that clash with an existing entity or a registered trade mark, and refers some names to another agency for approval. A referral means waiting on that agency, and a refusal means a second application after you have printed the cards.

Number of shareholders

One founder holding every share means a short constitution and one set of identity checks. Five shareholders across two share classes means more resolutions, more signatures to chase and more identity work before anything is lodged.

A non-standard constitution

The standard constitution suits most new companies. Investor rights, restrictions on share transfers or reserved matters written into the document mean drafting and review, which sits outside the S$650 and is quoted before drafting starts.

A corporate shareholder

A holding company on the share register brings its own paperwork, including that company's constitution, resolutions from its directors and identity checks running up to the people behind it. Expect a higher figure and a longer list of questions.

Prices exclude GST. The ACRA incorporation fee is inside the S$650. A name referred to another agency, and any drafting of a bespoke constitution, are quoted separately before work starts.

Common questions

What founders ask about the S$650

Is the ACRA fee included in the incorporation fee?

Yes. The government charge for registering the company is inside our incorporation fee, not added at the end. Where a separate ACRA charge arises later, such as lodging a change of officers, it is passed on at cost and shown on the invoice as what it is.

What is not covered by the incorporation fee?

Anything after registration. The company secretary, the registered office, the annual return, the tax filings and the books are ongoing work and sit in the Comply package or the Complete package. Bespoke constitution drafting is also separate.

Do I need a company secretary straight away?

Not on day one, but close to it. A company secretary must be appointed within six months of incorporation, and the role is not one the sole director fills alone. Most founders settle it at formation rather than setting a calendar reminder and hoping.

Why do some firms advertise incorporation for less?

Usually because the ACRA fee sits outside the headline, or the first year of secretarial work is bundled at a low rate and the renewal is where the money is. Ask for the ACRA fee, the year one total and the year two total, then compare those three numbers.

What does the company cost to run after incorporation?

For a company with no trading activity, the Comply package covers the secretary, the registered office, the annual return and the tax filings. A trading company needing monthly books, GST and payroll sits in Complete.

Ask for the figure in writing

Any firm quoting a formation price should put it in the engagement letter with the ACRA fee identified inside it. Send us your name choice and your shareholder list and a fixed number comes back.
