The secretary's fee, set out plainly

A named company secretary sits inside the Comply package, billed annually at S$765. The appointment is a statutory requirement rather than an optional extra on a menu.

Appointed within six months S$765 billed for the year Sole director does not fill it
How the fee works

One annual fee, one named secretary

A company secretary must be appointed within six months of incorporation, and the role is not one the sole director fills alone. Comply covers the appointment and the filing work that follows it for the year.

S$75 a month is how the price reads and S$765 is what is billed for the year. The work behind it clusters around the AGM and the annual return, so the fee is spread across twelve months rather than landing when the deadlines do.

What moves the price

What takes a company past S$75

Companies with one class of shares and a quiet year sit comfortably inside the package. Activity is what adds cost here, because every change to the company is a lodgement with a deadline attached to it.

Changes filed during the year

A still year needs the AGM documents and the annual return. A year with a new director, a share transfer, a change of company name and a new financial year end is four separate lodgements, each with its own resolutions and its own deadline.

Shareholder structure

One founder holding every share makes for a short register. Several share classes, a convertible instrument and an investor with consent rights mean resolutions drafted from scratch rather than taken off a shelf, and the fee follows the drafting.

Whether filings are current

Taking over a company with an overdue annual return means clearing the backlog before the next cycle starts. Catch up filings are quoted separately, because that work looks nothing like a company handed over with its registers in order.

Foreign shareholders and controllers

The register of registrable controllers has to name the people who control the company, and checks on overseas holders take longer. Where ownership runs through entities abroad, keeping that register accurate is ongoing work rather than a task done once at formation.

Prices exclude GST. S$75 a month is the Comply package, billed as S$765 a year. ACRA filing charges are passed on at cost, and catch up filings are quoted before work starts.

Common questions

What founders ask about secretarial fees

When must I appoint a company secretary?

Within six months of incorporation. Most founders deal with it at formation, because the appointment also settles who is preparing the AGM documents and the annual return later in the year. Leaving it to the sixth month means finding a secretary while the first filing deadlines are already moving towards you.

Am I allowed to be my own company secretary?

Not where you are the only director, because the role is not one the sole director fills alone. With a second director or another suitable appointee, an in-house appointment is possible. The filings still have to go in on time, so the question is whether that person has the time and the knowledge.

Does a foreign founder pay more?

A named secretary, the AGM documents, the annual return, the statutory registers including the RORC, routine resolutions, the registered office with mail scanning, and the tax filings in Comply. A private company must hold its AGM within six months of financial year end and file the annual return within seven.

My company is dormant. Do I still need all this?

Dormant is not the same as exempt. The annual return is still due within seven months of financial year end, the registers still have to be accurate, and the secretary still has to be in place. What dormancy removes is the bookkeeping, which is why Comply rather than Complete is the right package.

What happens if the annual return is filed late?

ACRA sets the consequences and they fall on the directors, not on the firm that forgot. We print no penalty figures here because ACRA sets them and they are revised. The practical answer is that notices arrive through the registered office and Corppass, so both need to reach someone who acts.

Ask what the renewal looks like

Before signing anywhere, ask what the fee covers in a year with two director changes and a share transfer. A low first year followed by a charge for every filing after it is a common shape, and worth spotting early.
